About ZAID
Zaid started his career with Wilmoth Field Warne, a Melbourne-based law firm, where he was promoted to Partner and lead the firm’s Commercial Department.
Zaid has advised private, corporate and government clients on a wide range of transactions including corporate restructuring, fundraising, mergers and acquisitions, media, intellectual property, and technology.
During his time in law, Zaid specialized in new technology and media, which proved valuable during his time in leadership roles in a number of technology and media companies, overseeing their legal and technology-related matters. His interests span media, technology, business management and the history and politics of the Middle East and Central Asia.
Specializing in complex commercial transactions, Zaid has over 30 years of commercial legal experience in Australia and overseas, holding a Bachelor of Laws, and a Bachelor of Economics from Monash University.

For over 30 years, Zaid has provided general commercial advice across a wide range of sectors and markets, acting for clients from startups through to established businesses. His experience covers transactions including offshore trade arrangements, new technology joint ventures and complex restructuring deals.
- Business Structuring and Restructuring
Zaid assists businesses to structure and restructure for growth, asset protection and operational efficiency, working closely with other advisers to manage tax, governance and succession outcomes and to ensure clients use the most suitable structures for their needs.
- Mergers & Acquisitions
Zaid has significant experience in mid market M&A, acting for both buyers and sellers on share and asset transactions and handling all aspects of the deal lifecycle, from structuring and due diligence through to documentation, negotiation and completion.
- Fundraising
Zaid advises startups through to established businesses on the regulatory and commercial aspects of capital raising, including preparing information memoranda, offer information statements, product disclosure statements, crowdsourced funding offer documents and prospectuses, and is experienced with the obligations of companies seeking to list, or already listed, under the ASX Listing Rules.
- Shareholder, Buy-Sell & Joint Venture Agreements
Zaid regularly advises on ownership and control arrangements, including drafting shareholders’ agreements, buy sell arrangements and joint venture agreements, and implementing provisions such as tag along and drag along rights, put and call options, insurance funded buy sell mechanisms, governance frameworks and other commonly negotiated protections for equityholders.
- New Technology
Zaid has extensive experience advising clients at the forefront of technological change, from the dot com boom of the 1990s through to today’s rapidly evolving AI landscape. His deep understanding of how technology works enables him to engage confidently with clients on sophisticated technical issues and to apply relevant legal frameworks in a practical, commercially focused way.
