CARe and MotorOne Autobody are two of Australia’s most respected collision repair networks. Founded in 2022 by Jim Vais and Norman Moss, CARe has expanded rapidly through a mix of purpose-built sites and targeted acquisitions, growing to 18 repair centres across New South Wales, Queensland, Victoria, South Australia and Tasmania.
The acquisition of MotorOne Autobody adds a further 20 sites across Victoria, Queensland and New South Wales, taking the combined network to 38 sites nationally.

What KPA’s Role Looked Like
KPA Lawyers acted as lead legal advisor to CARe, handling the commercial, regulatory and stakeholder issues that come with bringing two networks of this size together. The team was led by Ray Purcell (Director) and Zaid Mohseni (Special Counsel, Corporate M&A).
Transaction Structure and Execution
- Legal due diligence on MotorOne Autobody across corporate, commercial, IP, employment, property and regulatory matters.
- Drafting and negotiating the acquisition agreement, including warranties, indemnities, conditions precedent and disclosure schedules.
- Coordinating with the client’s tax and accounting advisers at William Buck on transaction structuring.
- Managing signing mechanics, completion deliverables and post-completion adjustments.
Network, Property and Operational Rights
- Transfer and assignment of the MotorOne Autobody brand and associated IP.
- Review and treatment of leasing arrangements across the MotorOne Autobody site portfolio.
- Continuity of brand goodwill and maintaining the integrity of both networks.
Key Contracts and Stakeholder Relationships
- Managing change-of-control and consent arrangements under MotorOne Autobody’s key insurer and fleet customer contracts to ensure continuity of service.
- Treatment of supplier, equipment and technology agreements central to the operation of the network.
